4. Your Responsibilities

When using our website and services, you agree to:

5. Intellectual Property

All content on this website — including text, structure, and design — is the property of Suria Niaga. You may not reproduce, distribute, or use this content without our prior written permission.

Written summaries, session notes, and reports we prepare for you in the course of service delivery are provided for your personal business use. You may use them internally but may not publish, resell, or distribute them without our consent.

You retain ownership of all business information, documents, and data that you share with us. We will not use your business information for any purpose outside of delivering your service arrangement.

6. Payment Terms

All prices are stated in Malaysian Ringgit (RM) and are inclusive of any applicable taxes unless stated otherwise. Payment terms will be confirmed in your service agreement.

Cancellation and rescheduling: You may reschedule a session with at least 48 hours' notice at no additional charge. Cancellations made with less than 24 hours' notice may be charged in full. For annual arrangements, cancellations after the first month are subject to proportional payment for services already delivered. We handle all situations with consideration.

7. Disclaimers

Our consulting services are provided in good faith to help you think through your business situation. They are not a substitute for professional legal, financial, or accounting advice.

We offer considered perspectives and suggestions, but business outcomes depend on many factors outside our control. We do not make any representations about specific business results that may follow from our engagement.

Our website is provided on an as-is basis. While we take care to keep information accurate, we do not warrant that the website will always be available or that its content is complete and error-free at all times.

8. Limitation of Liability

To the fullest extent permitted by Malaysian law, Suria Niaga's liability arising from any service engagement or use of this website is limited to the total fees paid by you for the relevant service.

We are not liable for indirect, incidental, or consequential losses, including loss of profits, business opportunities, or goodwill, even if we were aware of the possibility of such losses.

9. Confidentiality

We treat all information you share with us as confidential. We will not disclose your business information to third parties except where required by law or where you have given your consent. We expect the same consideration in return — please treat the materials and approaches we share with you as confidential to our professional relationship.

10. Termination

Either party may end a service arrangement with reasonable written notice. For ongoing arrangements such as the Daylight Companion, the notice period is 30 days.

We reserve the right to discontinue service to any client who acts in bad faith, provides materially false information, or engages in conduct that is unreasonable or harmful. In such cases, we will notify you in writing.

11. Dispute Resolution

These Terms & Conditions are governed by the laws of Malaysia. Any dispute arising from this agreement will first be addressed through direct conversation between the parties in good faith.

If a resolution cannot be reached informally, disputes may be referred to mediation or the courts of Malaysia, depending on the nature and scale of the matter. The courts of Perak shall have jurisdiction unless agreed otherwise in writing.

13. Changes to These Terms

We may update these Terms & Conditions as our services evolve. We will update the effective date at the top of this page when changes are made. Continued use of our website or services after updated Terms are published will be considered acceptance of the changes.
